IT IS HEREBY RESOLVED, by the City Council of the - City of Cape .Canaveral, Florida, as follows: SECTION 1. The Mayor and the City Clerk are hereby Fl[..,J authorizedto execute an Agreement with Florida Power and Light for converting street lights; a copy of said Agreement is attached hereto and made a part hereof by reference. SECTION 2. This resolution shall take effect s immediately upon its adoption. ADOPTED BY the City Council of the City of Cape Canaveral, Florida, this 3 day of November, 1981. ATTA$ii`C F I RESOLUTION NO 81-69 ...: r I LMED 1-18-83 CONSERVATION.LIGHTING CONVERSION'AGREEMENT Form 216H (,Non-Stocked ) Rev.7/81 THIS AGREEMENT, made this I ? day of ND JE-•Nile& , 19%/, by and between City of Cape -Canaveral, Florida , its successors and assigns (hereafter called the "Customer"), and FLORIDA POWER & LIGHT COMPANY, a corporation organized and existing under the laws of the State of Florida, its successors and assigns (hereafter called the "Company"). WITNESSETH • WHEREAS, the Company now serves the Customer at various locations with Company owned street lighting service and, WHEREAS, the Company and the Customer desire to promote conservation by converting present street lighting sys- tems of Incandescent and/or Mercury Vapor lamps to the more efficient High Pressure Sodium Vapor source, NOW, THEREFORE, in recognition of the foregoing recitals and in consideration of the mutual covenants and agree- ments contained herein, the parties hereto do agree as follows: TERMS AND CONDITIONS 1. Conversions All conversions pursuant to this agreement will be at existing locations as indicated by the Customer records. All conver- sions shall conform to the replacement proposal marked Exhibit "D" and made a part hereof by this reference, unless designated otherwise by the Customer in writing or recommended otherwise by the Company and accepted by the Customer in writing accord- ing to Exhibits "B"or "C",Original Tariff Sheet Nos. 9.113 and 9.114. 2. Ownership Such conversions will be made at the Company's expense and all poles, wires, fixtures, lamps, and other appliances, supplied and used by the Company in furnishing service herein provided for shall, at all times, be and remain the property of the Company. 3. Conversion Schedules The Customer agrees that all scheduling and completion of designated conversions under the terms of this Agreement will be at the sole discretion and management of the Company. The Company makes no representations as to the expected completion date of the designated conversions. 4. Incorporation The following Street Lighting Agreements(s) is (are) expressly incorporated in its (their) entirety herein and shall expire on the date that this Conservation Lighting Conversion Agreement expires as provided in paragraph five (5) herein. • Parties • Date For Customer: kichard Therm, Mayor October 15, 1963 Attest - Maxine R. If no such Street Lighting Agreement exists, the Customer will execute same simultaneously with the execution of this agreement. 5. Term of Contract The Customer and the Company mutually agree that the life of this Agreement shall be for a term of ten (10) years from the date of this Agreement and shall extend thereafter for further successive periods of five (5) years from the expiration of the initial ten (10) year term, or from the expiration of any extension thereof. The Agreement shall be extended automatically unless either party shall have given written notice to the other of its desire to terminate this Agreement. The written notice shall be given not less than ninety (90) days before the date of expiration of the initial ten (10) year term,or any extension thereof. Payment The Customer agrees to take electric energy and service supplied to each street light in accordance with the rate schedule set forth in Exhibit "A", which is attached to and made part of this Agreement, or any successive rate schedule which may be ap- proved from time to time by the appropriate regulatory authority. Cancels First Revised Sheet No. 8.715 r EXHIBIT "A" j 3 STREET LIGHTING I 1 - 3 RATE SCHEDULE: SL-1 ' RATE CODE: 987 AVAILABLE: - i In all territory served. _ • 4 APPLICATION: • For lighting of public ways and areas with lighting systems comprised of 10 or more luminaires. TYPE OF INSTALLATION: Company-owned fixtures normally will be mounted on poles of Company's existing distribution system and served ' from overhead wires. On request of the Customer, the Company will provide special poles or underground wires at the charges specified below. Customer-owned systems will be of a standard type and design, permitting service and lamp replacement at no abnormal cost to the Company. SERVICE: Service includes lamp renewals, patrol, energy from dusk each day until dawn the following day, and maintenance of Company-owned street lighting systems. Energy will be supplied from Company's series or multiple system, at Company's option. LIMITATION OF SERVICE: • j- If the Company is required to remove or replace existing high pressure sodium vapor luina• under this , schedule,.forcing premature retirement, the Customer shall be required to pay the Company an amount equal to the original installed cost, less any salvage value, depreciated, based on the depreciation rates as approved by the Florida . Public Service Commission, plus the cost of removal. • For Mercury Vapor, Fluorescent and Incandescent luminaires, no additions or changes in specified lumen output . on existing installations will be permitted under this schedule after the effective date hereof, except where such additional lights are required in order to match existing installations. Charges for other Company-owned facilities: • Wood pole used only for the street lighting system $2.00 Concrete pole used only for the street lighting system $2.75 - Fiberglass pole used only for the street lighting system $3.25 • Underground conductors not under paving 1.50t per foot Underground conductors under paving 3.70e per foot • • ' The spacing upon which these charges are based shall be determined from Company records. On Customer-owned street and highway systems and where Customer contracts to relamp at no cost to the Company, the Monthly Rate for energy shall be 4.85e per kwh of estimated usage of each unit plus adjustments. Adjustment: The amount computed at the above Monthly Rate shall be adjusted minus or plus by an amount calculated in accordance with the formulae specified in the Company's Adjustment and Cost Recovery Clauses which are incorporated by reference as a part of this Rate Schedule and as filed with and authorized by the Florida Public Service Commission. The Monthly Rate is increased by the specified percentage factor for each franchise area as set forth in the Franchise Fee Factor which is incorporated by reference as a part of this Rate Schedule and as filed with the Florida ' Public Service Commission. This percentage factor shall be applied after other appropriate adjustments. , Lights and Facilities in service for 15 days or less will not be billed; • Lights and Facilities in service for 16 days or more will be billed for a full month. F TERM OF SERVICE: Not less than ten years. RULES AND REGULATIONS: Service.under this schedule is subject to orders of governmental bodies having jurisdiction and to the currently effective "General Rules and Regulations for Electric Service" on file with the Florida Public Service Commission. In case of conflict between any provision of this schedule and said "General Rules and Regulations for Electric Service", the provision of this schedule shall apply. Issued by: J. J.
