HomeMy WebLinkAboutResolution No.67-63RESOLUTION NU. 67 -63 A RESOLUTION APPROVING AGREEMENT FOR AUDITING SERVICES BETWEEN THE CITY OF CAPE CANAVERAL, FLORIDA, AND ROSENBERG, DOBSON, AND COMPANY: PROVIDING All EFFECTIVE DATE BE IT RESOLVED by the City Council of the City of Cape Canaveral, Florida, that: Section 1. That the City of Cape Canaveral, Florida, hereby approves the Agreement for auditing services between the City of Cape Canaveral, Florida, and Rosenberg, Dobson, and Company, a copy of same being attached hereto and made a part. hereof. Section 2. The City of Cape Canaveral, Florida, authorizes the Mayor and the City Clerk to execute said Agreement on behalf of the City. Section 3. This Resolution shall become effective immediately upon its adoption. ADOPTED by the City Council of the City of Cape Canaveral, Florida, this 5th day of December 1967. ATTEST: 4 ity'Clerk ' AF PRO U FU 1: CItY 1 tarney /� I RES (D1 -Q PAGE I OFD AGREEMENT This agreement, entered into as of this 7th day of December 1967 by and between the CITY OF CAPE CANAVERAL, of the County of Brevard, state of Florida, hereinafter referred to as the "City ", and ROGER W. DOBSON of the certified public accounting firm of ROSENBERG, DOBSON & COMPANY, hereinafter referred to as the "Contractor ". WITNESSETH: WHEREAS, the "City" has by Resolution No. 67 -63, dated the 5th day of December, 1967, authorized the "City" to enter into a contract for auditing services with the "Contractor ", and WHEREAS, the'City" and the "Contractor" are desirous of setting forth the terms and conditions as contained in this document; NOW, THEREFORE, in consideration of the mutual promises, covenants and conditions contained herein and other good and valuable considerations, it is agreed as follows: 1. The "Contractor" shall, in a satisfactory and proper manner, perform the following: a) Make a general audit of all funds and groups of accounts, such audit being designed to render an unqualified opinion on the "City's" financial statements for the fiscal year ending September 30, 1968. Audit procedures shall include, but not be limited to, those enumerated on Schedule 117," attached hereto. b) The audit will be performed periodically throughout the year and will be completed as soon as possible after the close of the fiscal year, but in no event later than sixty days after the close of the fiscal year. c) As part of the audit the "Contractor" will review the accounting procedures and the system of internal control in use by the "City" and will maize suggestions for improving accounting procedures and internal controls at the conclusion of the audit. RES% %`%3 PAGEZ OF6 , ^,35 2. The "City" agrees to Pay to the "Contractor ", for the above- described services, an annual fee and out -of- Pocket expense of a maximum of $4,500.00. In the event the "Contractor's" per diem rates, charges for fees and out -of- pocket expenses should be less than $4,500.00, because the time to render this service is less than the time estimated by the "Contractor ", the lesser amount will be billed to the "City ". 3. In the event that unforeseen circumstances arise requiring a more detailed investigation than would be necessary under ordinary circumstances or where the "City" requests additional services, such fees will be arranged in advance to the satisfaction of the "City" and the "Contractor ". Test check any other revenue items of significance.
