a. The next Cape Canaveral Public Library Board Meeting will be held on Thursday,
May 9, 2013 at 2:00 pm at the Cape Canaveral Public Library Meeting Room. The
next Brevard County Library Board Meeting will be held on Wednesday, March
20, 2013 at Dr. Martin Luther King Library.

RESPECT TO ANY MATTERS AT SUCH MEETING OR HEARING,HE OR SHE WILL NEED A RECORD OF THE
PROCEEDINGS,AND THAT FOR SUCH PURPOSE,HE OR SHE MAY NEED TO ENSURE,THAT A VERBATIM RECORD
OF THE PROCEEDINGS IS MADE,WHICH RECORD INCLUDES THE TESTIMONY AND EVIDENCE UPON WHICH THE

Hi Linda, •
Thanks for sending the newly adopted by-laws. I finally had an opportunity to read and discuss them
with the City Manager. We offer the following:
} • Ordinance 11-66 was codified into the City Code and subsequently amended by several other
ordinances. Therefore,Article 1 Membership should read"In accordance with the provisions of Sections
46-26 to 46-33 of the City of Cape Canaveral Code of Ordinances,the Library Board...
• Section 3,Article II indicates the Chairperson may appoint committees and serve as ex-officio members
of all committees. This section should be removed as the City Code does not authorize the creation of
committees.
Section 5,Article II—possibly could be worded to make it clearer if it refers to one person holding both
jobs or if it is two separate people.
Section 1, Article III indicates an Annual meeting,however,the City Code requires two meetings a
year.
• Section 2,Article III—by allowing"written request of three members"the sunshine law could possibly
be violated,as in order to decide what business is to be transacted,the three members may attempt to
discuss it outside of a meeting. I recommend"or upon written request of the Library Director". She can
have individual conversations with members,not relay how each feels to the other,yet still know what
business needs to be transacted. Also,we encourage three days' notice in keeping with the standards
suggested in the Sunshine Manual.
• Section 4,Article III, remove"Committee Reports"and consider whether it really is appropriate for the
"Friends of the Library"to report, as many of them are already sitting on the board.
• Section 5,Article III—Robert's Rules of Order is a very useful tool, however; using the word"govern"
can potentially stymy meetings. Perhaps"shall be used as a guide for the"allows flexibility,yet provides
structure
• Section 1,Article IV—the way this is written it allows a minority of members to change the by-laws
because a quorum is 4 and a majority of those present would be 3. Consider requiring 4 affirmative votes
to change the by-laws.
• Section 1,Article V—by allowing members to notify the Chairperson of the Board,you again run the
risk of Sunshine Law Violation allegations. Consider notifying the Library Director or the recording
secretary(only if this person is not a board member)
• Section 2,Article V, City Code Section 2-171(g) indicates"Any Board or Committee member
incurring five consecutive absences from any regularly scheduled meetings of the board or committee or
seven absences from any meeting of the board or committee within a 12 month period, shall be deemed
automatically removed from the respective board or committee in which absences have occurred. The
standards outlined in this article appear to be in direct conflict with those established by City Code.
