THIS AGREEMENT is made and entered this \;; day of 2018,
by and bemeen the CITY OF CAPE CANAVERAL, FLORIDA, a municipal
corporation ("City"). located at 100 Polk A venue, Cape Canaveral, Florida 32920, and
BOWMAN CONSULTING GROUP, LTD, a Horida corporation ("Consultant"), whose
principal address is 4450 W. Eau Gallie Blvd .• Suite 232. Melbourne, FL 32934.
WITNESS ETH:
WHEREAS, the City has a need to obtain engineering, planning, and sun eymg sen·ict:s
from time to time on an as-needed, task-oriented basis; and
WHEREAS, the City has followed the selection and negotiation process set forth in the
1-lorida's Consultants' Competitive Negotiation Act. Section 287 .055. Florida Statutes: and
WHEREAS, the Consultant participated m the selection and negotiation proce:,,s; and
WHEREAS, the Consultant is willing to provide such engineering. planning. and
sun.eying scr. ices to the City under the tenns and conditions stated herein: and
WHEREAS, the City is willing to place Bov, man Consulting Group. LTD on its list of
pre.approved continuing ser.·ices consultants for the potential of providing engineering,
planning. and surveying !>en ice!> to the City in the f ulure; and
NOW, THEREFORE, for good and valuablt: consideration. the receipt and suflicicn9
of which is hcrchy acknowledged, the partre.· covenant and agree as follows:
1.0 TERM AND DEFINITIONS
1.1 Unless sooner tennmated by ei1her Party pur!,uant to the terms and conditions
herein, this Abrreemcnt shall term malt! on the fifth (5th) anniversary of the Eftt:ctive Oatc. The
Parties shall have the option to extend the tt:nn for two (2) additional ont: (I) year tenns. Any
such extension shall only be by written amendment to this Abrreement executed by both parties
hereto.
J .2 The tenns and conditions of any Task Order, as described in Section 2.0 hereoC
shall be as set forth in such Task Order. Any Task in effect at the termination of this Agreement
shall remain in effect until completion of said Task Order, and all of the terms and conditions of
this Abrreement shall survive until completion of all Task Orders.
1.3 Definitions. The following words and phrases used in this Agreement shal1 have
the following meaning ascribed to them unless the context ckarly indicates othenvisc:

d. The undersigned is authorized to execute this Agreement on behalf of the
Consultant and said signature shall hind the Consultant to this Agret!TTlent. No further action is
required by the Consultant to enter into this Agreement other than the Consultant's undersigned
rcpresentativc·s execution of the Agreement.
IN WITNESS WHEREOF, the parties hereto caused this Agret!ment to be executed by
1heir duly authorized representatives as of the date first written above.
