CALL TO ORDER: The Chair called the Meeting to Order at 5:00 PM.

NEW BUSINESS:
1. Approve Minutes for Community Redevelopment Agency Board Meeting of August 16,
2016: Motion by Vice-Chair McMillin, seconded by Board Member Brown, for approval of
the minutes. The Motion carried 4-0, with Board Member Walsh absent, after a roll call
vote.
2. Approve FY 2017/18 Community Redevelopment Agency Board Meeting Schedule and
Financial Reporting Requirements: CRA Registered Agent Greene explained CRA Meetings are
scheduled to coincide with City Council Meetings and advertised in the newspaper for full
transparency. Motion by Board Member Randels, seconded by Vice-Chair McMillin, to
approve item number two as presented. Motion carried unanimously, after a roll call vote.
3. Resolution No. CRA-05, adopting a budget for the Cape Canaveral Community
Redevelopment Agency for FY 2017/18, providing for the repeal of prior inconsistent resolutions,
severability and an effective date: CRA Board Attorney Garganese read the Resolution title into
the record. Discussion ensued and included how State legislature could limit the CRA, meetings
between Staff and Brevard County officials to discuss an interlocal agreement, financing and
Cherie Down Park, Staff waiting to review draft agreement with Brevard County and how County
officials would like to limit the number of years for CRAB and hold down administrative costs and
expenses. The Public Hearing was opened. There being no comment, the Public Hearing was

closed. Motion by Board Member Randels, seconded by Board Member Brown, to adopt

Subject: Review and provide feedback on the DRAFT Community Redevelopment Agency
(CRA) Financial Incentives Guide.
Department: Community Development
Summary: The Community Redevelopment Act, Chapter 163 Part III, F.S. was created as a
tool to assist in improving the general public welfare, local tax base and for redevelopment of
specific geographic areas. The Act declares, "the rehabilitation, conservation, or redevelopment
of deteriorated and distressed areas are necessary in the interest of public health, safety, morals,
and welfare."
Recognizing the many benefits associated with redevelopment in 2012, the City established a
Community Redevelopment Agency (CRA). The purpose of the Cape Canaveral CRA is to
implement the Vision Statement and recommendations in the Visioning Report. To this end,the
CRA established a listing of strategies, programs and projects to create jobs, increase investment
and property values and attract the types of services and amenities desired by residents.
An integral part of the CRA creation was the adoption of a CRA Plan, which enumerated actions
and strategies to create, fund and implement an array of redevelopment programs and projects
within the CRA District. The Plan provides framework andeg neral guidelines to direct future
decision making of the CRA with respect to possible projects and programs, to include:
• Improvement and Beautification Programs
• Incentive Fund
• Rehabilitation and Repurposing of Existing Buildings
• Site Preparation
To provide a resource for interested property owners, the attached DRAFT CRA Financial
Incentive Guide has been prepared. The Guide implements the aforementioned guidelines,
provides comprehensive information about the City of Cape Canaveral's CRA financial
incentives programs and proposes several grant programs for eligible commercial and residential
properties within the CRA boundary, including items listed below.
1. IMPROVEMENT AND BEAUTIFICATION PROGRAMS — The appearance of
buildings and properties is important to creating an attractive business environment,
increasing marketability and maintaining property values. The CRA provides incentives
for private property enhancements and improvements for both residential and
commercial properties through a matching grants program. Currently the CRA offers the
following:
A. Commercial Improvement Grants
1. Matching Facade and Property Improvement Grant—50% reimbursement of
a project with a maximum reimbursement up to$10,000. Only one(1)grant award
for one(1) category per structure/business will be awarded for a period of 5 years.
Building must be structurally sound, current on property taxes, and meet (or by
this project will meet) minimum building, sanitary, and fire safety codes.

B. Multi-Family Residential or Residential Neighborhood Improvement Grants
1. Matching Facade and Property Improvement Grant — 50% reimbursement
of project costs with a maximum reimbursement up to $5,000. Only one(1)grant
award for one (1) category per structure/project for a period of five (5) years.
Building must be current on property taxes and meet(or by this project will meet)
minimum building, sanitary, and fire safety codes.
1.1. Exterior enhancements, improvements and renovations including
landscaping and lighting.
2. Matching Revitalization Grant — 50% reimbursement of project costs with a
maximum reimbursement up to $5,000. Limited to quadraplexes and above.
2.1. Exterior and/or Interior improvements necessary to bring the residential
structure up to building, safety, and fire safety code. (This grant is not
intended for general property maintenance, including yard maintenance or
similar.)
3. Paint Voucher Grant— 100% reimbursement of project costs with a maximum
reimbursement up to $5,000.
• Limited to owner-occupied single residences or duplexes.
• Up to 10% of the grant award may be used for repairs or prep work.
• Work to be completed by the property owner/others will require a written
estimate for cost of paint, type of paint, and color.
• Within the C-1, C-2, and M-1 zoning districts, any exterior building or roof
color used shall be well designed and integrated with the architectural style of
the building and surrounding landscaping to create a subtle and harmonious
effect and promote aesthetic uniformity within the district. Bright or brilliant
colors shall not be permitted except for use as an accent color within the C-1,
C-2, or M-1 zoning districts.
2. REHABILITATION, REDEVELOPMENT, AND REPURPOSING OF EXISTING
BUILDINGS—The CRA supports rehabilitation and repurposing of existing structures
through grants by offering limited financial/technical assistance. The goal is to stimulate
reinvestment in the CRA District, to preserve/renew the traditional retail business
district. Rehabilitation is the process of returning a property to a state of utility, through
repair/alteration, which makes possible an efficient, contemporary use while preserving
those portions which are significant to its historic, architectural, and cultural values.
A. Large Grant Program - 50% reimbursement of project costs with a maximum
reimbursement up to $25,000 for repurposing of existing building(s) including
commercial projects that are mixed-use, entertainment, industrial, office,
technology-based businesses, or a jobs-producing entity, as determined/approved by
the CRA.
B. Rehabilitation Matching Revitalization Grant — 50% reimbursement of project
costs with a maximum reimbursement up to $10,000 for revitalization/preservation
of existing commercial buildings for exterior and code-related interior improvements
including:
1. Electrical work, except as related to Facade Grants.
2. Roof, soffit, and chimney repairs.

C. Commercial Life Safety Compliance Grant—50%reimbursement of project costs
with a maximum reimbursement up to $5,000.
1. Sprinkler systems—as required by the Florida Fire Prevention Code.
2. Fire alarm systems—as required by the Florida Fire Prevention Code.
D. Site Preparation — 50% reimbursement of project costs with a maximum
reimbursement up to $10,000 to assist with demolition/removal of obsolete
structures, thereby beautifying the property and increasing its marketability.
The main body of the Guide provides an overview of all the various programs, definitions, and
general guidelines. Each of the grant programs is addressed in its own "stand alone" appendix.
Thus, a potential applicant can be furnished an appendix that relates to the applicant's specific
needs.
Program Funding - Tax Increment Financing (TIF) is the primary funding tool within CRAB.
This funding tool provides that a portion of the increases in ad valorem revenues, over the base
year, generated within the Community Redevelopment Area are deposited into a redevelopment
trust fund. The year the Community Redevelopment Agency was established is considered the
base year; in the case of Cape Canaveral, the base year was 2012.
Taxing authorities continue to collect taxes based on the base year values while any increases in
real property value are allocated to the CRA. In short, as taxable property values increase due
to redevelopment; the redevelopment fund increases correspondingly. Note that Tax Increment
Financing is not an additional tax on properties, but a reallocation of tax revenues to the CRA.
TIF revenues must be used within the CRA and are held in a Redevelopment Trust Fund for
activities that contribute to improvement in the CRA. Funds can be used for property
acquisition; public improvements including parking facilities and streetscapes; financial
incentives to property owners and businesses;and the financing of capital improvement projects.
TIF Revenue for the 2017/18 FY as contained in the City Budget is $758,731. The majority of
this($741,527)was budgeted for debt repayment of previous capital projects,with the remainder
budgeted for operating and contingency. Funding of the proposed programs will be through TIF
revenues and will be established annually by the CRA Board during its budget process.

FINANCIAL INCENTIVES GUIDE
INTRODUCTION
The City of Cape Canaveral Community Redevelopment Agency (CRA) provides for private property
enhancement/improvement for commercial, multi-family, and residential properties. To qualify, the
property is required to be located within the adopted CRA District(See Figure 1-CRA Boundary on page
5).
This Guide is intended to provide comprehensive information about the City of Cape Canaveral's CRA
financial incentives programs. The main body of the Guide provides an overview of all the various
programs, definitions, and general guidelines. Each of the grant programs is addressed in its own separate
appendix,which provides detailed information about the specific program,including: guidelines,eligibility
rules, application procedures, application evaluation and award procedures, and an evaluation form.
The Guide represents an all-inclusive set of information that defines the CRA Financial Incentives and how
the incentives are to be managed.As such,the Guide is intended for use by CRA staff and other associated
City officials who are responsible for overall management of the CRA Incentives. Meanwhile, each
appendix is inclusive enough so that it can "stand alone." Thus, a potential applicant can be furnished an
appendix that relates to the incentives program that matches the potential applicant's needs—providing all
the pertinent information in less than ten (10)pages.
CRA GRANT PROGRAMS FOR FINANCIAL ASSISTANCE
The CRA has several grant programs for eligible properties within the CRA boundary,including the items
listed below.
1. IMPROVEMENT AND BEAUTIFICATION PROGRAMS—The appearance of buildings

and maintaining property values. The CRA provides incentives for private property enhancements
and improvements for both residential and commercial properties through a matching grants
program. Currently the CRA offers the following:
A. Commercial Improvement Grants

with a maximum reimbursement up to $10,000. Only one (1) grant award for one (1)
category per structure/business will be awarded for a period of 5 years. Building must be

minimum building, sanitary, and fire safety codes. See Appendix A for more detailed
information.
1.1. Sins —includes removal of old sign(s) and the design,production, and installation
of new signs; or renovation of existing signs, including sign lighting, in compliance
with current City codes.
1.2. Awnings/ Canopies — includes the removal of the old awnings/canopies and the
design,production, and installation of new awnings and canopies.
1.3. Fagades — includes work performed on the exterior storefront of a building such as
cleaning masonry (high pressure water or steam - sandblasting is prohibited on

masonry structures),painting,re-pointing of mortar joints,woodwork,window and/or
door replacement,rebuilding historic storefronts,exposing boarded windows,or other
repairs. [The work in this category is eligible only if part of significant exterior
structural enhancements as defined by the CRA, including the removal and disposal
of old fagade coverings (e.g. vinyl and aluminum cladding, window boards) as well
as removal of old wood, aluminum, or stucco cladding, including the materials and
services to remove the cladding.]
1.4. Walls and Fencing — includes work that removes and replaces or adds appropriate
fencing,including work which hides incompatible uses or negative site elements(e.g.
storage yards,outdoor fabrication,work area,or dumpsters).
1.5. Reconstruction of storefronts—includes such work as raising parapet walls,installing
new doors and windows and/or reconfiguring entryways.
1.6. Lighting — includes installation of new exterior lighting as may be permitted by
current City codes.
1.7. Landscaping and Low Impact Development(LLD)—includes work that removes and
replaces or adds appropriate landscaping through a variety of practices that increase
the visual aesthetics of the neighborhood, mimics or preserve natural drainage
processes to manage stormwater, and hides incompatible uses or negative site
elements(e.g.harmful runoff,erosion,or minimal and deteriorating landscaping). See
LID Fact Sheet for more information.

DEFINITIONS
1. Community Redevelopment Area—the area identified and adopted consistent with the City of Cape
Canaveral Community Redevelopment Plan—See Figure 1 - CRA Boundary.
2. Low Impact Development - refers to practices that use or mimic natural processes that result in the
infiltration, evapotranspiration or use of stormwater in order to protect water quality and associated
aquatic habitat.
3. Person—any individual, firm,partnership, corporation, company, association,joint stock association,
or body politic.Includes any trustee,receiver,assignee,or other person acting in a similar representative
capacity,as owner,applicant or authorized agent on behalf of a property or application.
4. Repurpose—the reuse, reclassification or conversion of a property, site,building, structure or similar
for a use different than its current use/status.
5. Rehabilitation — renovations, alterations, repair, (re)construction, or similar allowing the use of a
property and/or building/structure consistent with applicable local/state codes,including but not limited
to building, fire, and sanitary codes.
6. Residential Infill Project — residential development project that includes attached residential
structure(s), or multi-family residential structure(s) as defined and permitted by the City of Cape
Canaveral City Code of Ordinances. The introduction or re-introduction of a residential project within
the CRA district on existing lot(s) of record.
7. Residential Neighborhood— a residential area of similar dwellings built by property developers and
usually under a single management; Neighborhoods are often identified by a place name and have
boundaries composed of major streets,barriers,or abrupt changes in land use.

GENERAL CRA INCENTIVES PROGRAMS REQUIREMENTS
1. Funds will be allocated on a first-come first-served basis. Only one grant award per structure, based
on the order of requests and available funds.
2. Tenants may qualify upon receipt of written consent from the property owner.
3. Matching grant funds require an up-front matching dollar-for-dollar expenditure by the owner/tenant.
Paint Voucher grants do not require owner/tenant matching.
4. No work for which a grant is sought shall begin until authorized.
5. To qualify for grant funds, an application must be submitted to the CRA with all applicable permits
(not part of grant request)and/or estimates for work(verified by an outside source).
6. Any unapproved changes may void the grant approval and CRA may withhold payment.
7. Amounts noted in the Programs are the maximum funds permitted; no guarantee or expectation of
maximum funding is implied. CRA may approve at its sole discretion partial funding for any Project.
8. By accepting funds from the CRA,the applicant agrees to an audit of the Project at any time.
9. The CRA may attach and/or impose any conditions of approval as deemed prudent and necessary in
fulfillment of the requested grant program and issuance of funds. All Project applications must meet,
or by this Project will meet,City codes,land use/zoning, sanitary,building and fire codes.
10. Only completed applications,including all supporting documentation,will be accepted.
11. Applicants for CRA Programs and Grants must be current on property taxes,both City and County.
12. Professional consulting services provided by General Contractors, Engineers, Architects, and Design
Consultants must be licensed in the State of Florida, as applicable.

COMMERCIAL IMPROVEMENT GRANTS:
MATCHING FACADE AND PROPERTY IMPROVEMENT GRANT
REQUIREMENTS, PROCEDURES,AND APPLICATION FORMS
It is the intent of the City of Cape Canaveral Community Redevelopment Agency (CRA) to provide
financial assistance to qualified owners of commercial properties located within the boundaries of the CRA
(see Figure 1 - CRA Boundary on following page) for eligible building or site improvements that
contribute to the physical,economic, social,and aesthetic well-being of the City of Cape Canaveral.
This section specifies the types of Commercial Improvement Grants; and provides detailed information on
Matching Facade and Property Improvement Grants,including: Eligibility,Provisions,Application/Award
Procedures, and Application Form.
TYPES OF COMMERCIAL IMPROVEMENT GRANTS
There is one type of Commercial Improvement Grant: (1) Matching Fagade and Property Improvement
Grant.This appendix outlines the Matching Facade and Property Improvement Grant process.
1. Matching Facade and Property Improvement Grant — 50% reimbursement of a project with a
maximum reimbursement up to $10,000. Only one (1) grant award for one (1) category per
structure/business will be awarded for a period of 5 years. Building must be structurally sound,
current on property taxes, and meet (or by this project will meet) minimum building, sanitary, and
fire safety codes.
1.1. Sins —includes removal of old sign(s) and the design, production, and installation of new
signs; or renovation of existing signs,including sign lighting,in compliance with current City
codes.
1.2. Awnings/Canopies - includes the removal of the old awnings/canopies and the design,
production, and installation of new awnings and canopies.
1.3. Fagades - includes work performed on the exterior storefront of a building such as cleaning
masonry (high pressure water or steam - sandblasting is prohibited on masonry structures),
painting,re-pointing of mortar joints,woodwork,window and/or door replacement,rebuilding
historic storefronts, exposing boarded windows, or other repairs. [The work in this category
is eligible only if part of significant exterior structural enhancements as defined by the CRA,
including the removal and disposal of old fagade coverings(e.g.vinyl and aluminum cladding,
window boards)as well as removal of old wood,aluminum,or stucco cladding,including the
materials and services to remove the cladding.]
1.4. Walls and Fencing —includes work that removes and replaces or adds appropriate fencing,
including work which hides incompatible uses or negative site elements (e.g. storage yards,
outdoor fabrication,work area,or dumpsters).
1.5. Reconstruction of storefronts — includes such work as raising parapet walls, installing new
doors and windows and/or reconfiguring entryways.
1.6. Lighting—includes installation of new exterior lighting as may be permitted by current City
codes.
1.7. Landscaping and Low Impact Development(LID)—includes work that removes and replaces
or adds appropriate landscaping through a variety of practices that increase the visual
aesthetics of the neighborhood, mimics or preserve natural drainage processes to manage
stormwater, and hides incompatible uses or negative site elements (e.g. harmful runoff,
erosion,or minimal and deteriorating landscaping). See LID Fact Sheet for more information.

GENERAL CRA INCENTIVES PROGRAMS REQUIREMENTS
1. Funds will be allocated on a first-come first-served basis. Only one grant award per structure, based
on the order of requests and available funds.
2. Tenants may qualify upon receipt of written consent from the property owner.
3. Matching grant funds require an up-front matching dollar-for-dollar expenditure by the owner/tenant.
Paint Voucher grants do not require owner/tenant matching.
4. No work for which a grant is sought shall begin until authorized.
5. To qualify for grant funds, an application must be submitted to the CRA with all applicable permits
(not part of grant request)and/or estimates for work(verified by an outside source).
6. Any unapproved changes may void the grant approval and CRA may withhold payment.
7. Amounts noted in the Programs are the maximum funds permitted; no guarantee or expectation of
maximum funding is implied. CRA may approve at its sole discretion partial funding for any Project.
8. By accepting funds from the CRA,the applicant agrees to an audit of the Project at any time.
9. The CRA may attach and/or impose any conditions of approval as deemed prudent and necessary in
fulfillment of the requested grant program and issuance of funds. All Project applications must meet,
or by this Project will meet,City codes,land use/zoning, sanitary,building and fire codes.
10. Only completed applications,including all supporting documentation,will be accepted.
11. Applicants for CRA Programs and Grants must be current on property taxes,both City and County.
12. Professional consulting services provided by General Contractors, Engineers, Architects, and Design
Consultants must be licensed in the State of Florida, as applicable.
13. The building must be structurally sound.
PROVISIONS FOR COMMERCIAL MATCHING FACADE AND PROPERTY
IMPROVEMENT GRANTS
1. An applicant must contribute at least 50%towards the total cost of the eligible improvement.
2. Expenses must be related to direct labor, equipment, or materials associated with the eligible
improvement to be counted towards the project cost.
3. The Applicant shall incur all initial project costs and may receive reimbursement only after all
improvements have been completed in accordance with the grant award.
4. Grant funds will be disbursed upon the receipt of a finding of project completion by the CRA.
5. The finding of project completion will be granted when the CRA has received the following package:
a. Written notification from the Owner that the project is complete.
b. Copies of all required permits and occupancy certificates.
c. Copies of paid invoices and evidence of payment(cancelled checks).
6. Applicants must receive a building permit within six(6) months from the date the CRA approves the
grant request or the funding will expire. Extensions may be granted under special circumstances.

7. Project completion must be within twelve(12)months of the issuance of a building permit. Extensions

Qualified applicants must schedule a pre-application meeting with the CRA prior to preparing an
application for submittal. The CRA office is located in the Community Development Department in City

Within ten (10) business days of application submittal, the CRA will review the application for
completeness. Should any deficiencies or issues with the application surface during the review process, a
post-application submittal conference will be held with the Applicant to discuss the deficiencies or issues.
The CRA may request that the Applicant provide additional information.
Within ten (10) days of receiving the completed application,the CRA will review the application against
the review criteria and prepare a recommendation for the City's Development Review Committee (DRC).
Applicants will also be sent a copy of the recommendation.
The DRC will determine by majority vote whether the application is approved or denied,with or without
conditions.
The Applicant will be notified in writing of the DRC's decision within five(5)business days of the decision.

financial assistance to qualified owners of multi-family properties located within the boundaries of the CRA
(See Figure 1 - CRA Boundary on following page) for eligible building or site improvements that
contribute to the physical,economic, social, and aesthetic well-being of the City of Cape Canaveral.
This section specifies the types of Multi-Family or Residential Neighborhood Grants;and provides detailed
information on Matching Fagade and Property Improvement Grants, including: Eligibility, Provisions,
Application/Award Procedures, and Application Form.
TYPES OF MULTI-FAMILY OR RESIDENTIAL NEIGHBORHOOD GRANTS
There are several types of Multi-Family or Residential Neighborhood Grants: (1) Matching Fagade and
Property Improvement Grant, (2) Matching Revitalization Grant, and (3) Paint Voucher Grant. This
appendix addresses Matching Facade and Property Improvement Grants.
1. Matching Facade and Property Improvement Grant—50%reimbursement of project costs with
a maximum reimbursement up to $5,000. Only one (1) grant award for one (1) category per
structure/project for a period of five(5)years.Building must be current on property taxes and meet
(or by this project will meet) minimum building, sanitary, and fire safety codes. Limited to
quadraplexes and above.
1.1 Exterior enhancements,improvements and renovations including landscaping and lighting.
2. Matching Revitalization Grant — 50% reimbursement of project costs with a maximum
reimbursement up to $5,000. Limited to quadraplexes and above. See Appendix C for more

building, safety, and fire safety code. (This grant is not intended for general property
maintenance including yard maintenance or similar.)

• Limited to owner-occupied single residences,duplexes or triplexes.
• Up to 10% of the grant award may be used for repairs or prep work.

• Within the C-1, C-2,and M-1 zoning districts,any exterior building or roof color used shall be
well designed and integrated with the architectural style of the building and surrounding
landscaping in order to create a subtle and harmonious effect and promote aesthetic uniformity
within the district. Bright or brilliant colors shall not be permitted except for use as an accent
color within the C-1, C-2,or M-I zoning districts.

on the order of requests and available funds.
2. Tenants may qualify upon receipt of written consent from the property owner.
3. Matching grant funds require an up-front matching dollar-for-dollar expenditure by the owner/tenant.
Paint Voucher grants do not require owner/tenant matching.
4. No work for which a grant is sought shall begin until authorized.
5. To qualify for grant funds, an application must be submitted to the CRA with all applicable permits
(not part of grant request)and/or estimates for work(verified by an outside source).
6. Any unapproved changes may void the grant approval and CRA may withhold payment.
7. Amounts noted in the Programs are the maximum funds permitted; no guarantee or expectation of
maximum funding is implied. CRA may approve at its sole discretion partial funding for any Project.
8. By accepting funds from the CRA,the applicant agrees to an audit of the Project at any time.
9. The CRA may attach and/or impose any conditions of approval as deemed prudent and necessary in
fulfillment of the requested grant program and issuance of funds. All Project applications must meet,
or by this Project will meet,City codes,land use/zoning, sanitary,building and fire codes.
10. Only completed applications,including all supporting documentation,will be accepted.
11. Applicants for CRA Programs and Grants must be current on property taxes,both City and County.
12. Professional consulting services provided by General Contractors, Engineers, Architects, and Design
Consultants must be licensed in the State of Florida, as applicable.
13. The building must be structurally sound.
ELIGIBILITY FOR MULTI-FAMILY OR RESIDENTIAL NEIGHBORHOOD
MATCHING REVITALIZATION GRANTS
1. All Project applications must meet, or by this Project will meet, City codes; land use/zoning; and
sanitary, building and fire codes (except where the Program request will address and remedy code
violations).
2. The property must not be subject to current code enforcement actions.
The following items are specifically ineligible for the program:
1. Parking lot paving.
2. Permit fees.
3. Fixtures/equipment.

4. Non-fixed improvements.
5. Improvements made prior to grant approval.
6. Refinancing existing debt.
7. Sweat equity payments (i.e. reimbursement for applicant's own labor and performance of renovation

GENERAL GRANT PROVISIONS FOR MULTI-FAMILY OR RESIDENTIAL
NEIGHBORHOOD MATCHING REVITALIZATION GRANTS
1. Expenses must be related to direct labor, equipment, or materials associated with the eligible
improvement to be counted towards the project cost.
2. The Applicant shall incur all initial project costs and may receive reimbursement only after all
improvements have been completed in accordance with the grant award.
3. Grant funds will be disbursed upon the receipt of a finding of project completion by the CRA.
4. The finding of project completion will be granted when the CRA has received the following package:
a. Written notification from the Owner that the project is complete.
b. Copies of all required permits and occupancy certificates.
c. Copies of paid invoices and evidence of payment(cancelled checks).
5. Applicants must receive a building permit within six (6) months from the date the CRA approves the
grant request or the funding will expire. Extensions may be granted by the CRA under special
circumstances.
6. Project completion must be within twelve(12)months of the issuance of a building permit. Extensions
may be granted by the CRA under special circumstances.
APPLICATION/AWARD PROCEDURES FOR MULTI-FAMILY OR RESIDENTIAL
NEIGHBORHOOD MATCHING REVITALIZATION GRANTS
Qualified applicants must schedule an appointment with the CRA prior to preparing an application for
submittal.The CRA office is located in the Community Development Department in City Hall at 100 Polk
Avenue Cape Canaveral,FL 32920.Appointments may be made by calling (321) 868-1220,press 3.
Within ten (10) business days of application submittal, the CRA will review the application for
completeness. A post-application submittal conference will be held with the Applicant to discuss any
deficiencies or issues with the application. At this time, the CRA may request that the Applicant provide
additional information.
Within ten (10) days of receiving the completed application,the DRC will review the application against
the review criteria.The DRC will determine by majority vote whether or not the application is approved or
denied,with or without conditions.
The Applicant will be notified in writing of the DRC's decision within five (5)business days of the DRC
meeting.

It is the intent of the City of Cape Canaveral Community Redevelopment Agency (CRA) to provide
financial assistance to qualified owners of properties located within the boundaries of the CRA(See Figure
1 - CRA Boundary on following page) for eligible building or site improvements that contribute to the
physical,economic, social,and aesthetic well-being of the City of Cape Canaveral.
This section specifies the types of Multi-Family or Residential Neighborhood Grants;and provides detailed
information on Paint Voucher Grants including: Eligibility, General Provisions, Application/ Award
Procedures, and Application Form.
TYPES OF MULTI-FAMILY OR RESIDENTIAL NEIGHBORHOOD GRANTS
There are several types of Multi-Family or Residential Neighborhood Grants: (1) Matching Fagade and
Property Improvement Grant, (2) Matching Revitalization Grant, and (3) Paint Voucher Grant. This
appendix addresses Paint Voucher Grants. Go to Appendix B for Matching Facade and Property
Improvement Grants, and Appendix C for Matching Revitalization Grants.
1. Matching Facade and Property Improvement Grant—50%reimbursement of project costs with
a maximum reimbursement up to $5,000. Only one (1) grant award for one (1) category per
structure/project for a period of five (5)years.Building must be current on property taxes and meet
(or by this project will meet) minimum building, sanitary, and fire safety codes. Limited to
quadraplexes and above. See Appendix B for more detailed information.
1.1 Exterior enhancements,improvements and renovations including landscaping and lighting.
2. Matching Revitalization Grant — 50% reimbursement of project costs with a maximum
reimbursement up to $5,000. Limited to quadraplexes and above. See Appendix C for more
detailed information.
3.1 Exterior and/or Interior improvements necessary to bring the structure up to building, safety,
and fire safety code. (This grant is not intended for general property maintenance including
yard maintenance or similar.)
3. Paint Voucher Grant— 100%reimbursement of project costs with a maximum reimbursement up
to $5,000.
• Limited to owner-occupied single residences or duplexes.
• Up to 10% of the grant award may be used for repairs or prep work.
• Work to be completed by the property owner/others will require a written estimate for cost
of paint,type of paint,and color.
• Within the C-1, C-2, and M-1 zoning districts,any exterior building or roof color used shall
be well designed and integrated with the architectural style of the building and surrounding
landscaping in order to create a subtle and harmonious effect and promote aesthetic
uniformity within the district. Bright or brilliant colors shall not be permitted except for use
as an accent color within the C-1,C-2,or M-1 zoning districts.

7. The Applicant shall incur all initial project costs and may receive reimbursement only after all
improvements have been completed in accordance with the grant award.

(1) Large Grant Program, (2) Rehabilitation Matching Revitalization Grant, (3) Commercial Life Safety
Compliance Grant, and(4) Site Preparation Grant. This appendix addresses the Large Grant Program... Go

Compliance Grants, and Appendix H for Site Preparation Grants.
A. Large Grant Program - 50%reimbursement of project costs with a maximum reimbursement
up to$25,000 for repurposing of existing building(s),including commercial projects that are mixed-
use, entertainment, industrial, office, technology-based businesses, or a jobs-producing entity, as
determined/approved by the CRA.
B. Rehabilitation Matching Revitalization Grant—50%reimbursement of project costs with a
maximum reimbursement up to $10,000 for revitalization/preservation of existing commercial
buildings for exterior and code-related interior improvements including(See Appendix F for more
detailed information):
1. Electrical work,except as related to Facade Grants.
2. Roof, soffit,and chimney repairs.
C. Commercial Life Safety Compliance Grant — 50% reimbursement of project costs with a
maximum reimbursement up to $10,000. See Appendix G for more detailed information.
1. Sprinkler systems—as required by the Florida Fire Prevention Code.
2. Fire alarm systems—as required by the Florida Fire Prevention Code.
D. Site Preparation— 50% reimbursement of project costs with a maximum reimbursement up to
$10,000 to assist with demolition/removal of obsolete structures,thereby beautifying the property
and increasing its marketability. See Appendix H for more detailed information.

financial assistance to qualified owners of properties located within the boundaries of the CRA(See Figure
1 - CRA Boundary on following page) for eligible building or site improvements that contribute to the
physical, economic, social,and aesthetic well-being of the City of Cape Canaveral.
This section specifies the types of Rehabilitation,Redevelopment, and Repurposing of Existing Buildings
Grants; and provides detailed information on the Rehabilitation Matching Revitalization Grants,including:
Eligibility,General Provisions,Application/Award Procedures,and Application Form.
TYPES OF REHABILITATION, REDEVELOPMENT,AND REPURPOSING OF
EXISTING BUILDINGS GRANTS
There are several types of Rehabilitation, Redevelopment, and Repurposing of Existing Buildings Grants:
(1) Large Grant Program, (2) Rehabilitation Matching Revitalization Grant, (3) Commercial Life Safety
Compliance Grant, and (4) Site Preparation Grant. This appendix addresses Rehabilitation Matching
Revitalization Grants. Go to Appendix E for the Large Grant Program, Appendix G for Commercial Life

A. Large Grant Program - 50%reimbursement of project costs with a maximum reimbursement
up to $25,000 for repurposing of existing building(s), including commercial projects that are

2. Roof, soffit, and chimney repairs.
C. Commercial Life Safety Compliance Grant — 50% reimbursement of project costs with a
maximum reimbursement up to $10,000. See Appendix G for more detailed information.

GENERAL CRA INCENTIVES PROGRAMS REQUIREMENTS
1. Funds will be allocated on a first-come first-served basis. Only one grant award per structure, based
on the order of requests and available funds.
2. Tenants may qualify upon receipt of written consent from the property owner.
3. Matching grant funds require an up-front matching dollar-for-dollar expenditure by the owner/tenant.
Paint Voucher grants do not require owner/tenant matching.
4. No work for which a grant is sought shall begin until authorized.
5. To qualify for grant funds, an application must be submitted to the CRA with all applicable permits
(not part of grant request)and/or estimates for work(verified by an outside source).
6. Any unapproved changes may void the grant approval and CRA may withhold payment.
7. Amounts noted in the Programs are the maximum funds permitted; no guarantee or expectation of
maximum funding is implied. CRA may approve at its sole discretion partial funding for any Project.
8. By accepting funds from the CRA,the applicant agrees to an audit of the Project at any time.
9. The CRA may attach and/or impose any conditions of approval as deemed prudent and necessary in
fulfillment of the requested grant program and issuance of funds. All Project applications must meet,
or by this Project will meet,City codes,land use/zoning, sanitary,building and fire codes.
10. Only completed applications,including all supporting documentation,will be accepted.
11. Applicants for CRA Programs and Grants must be current on property taxes,both City and County.
12. Professional consulting services provided by General Contractors, Engineers, Architects, and Design
Consultants must be licensed in the State of Florida, as applicable.
13. The building must be structurally sound.
PROVISIONS FOR REHABILITATION, REDEVELOPMENT,AND
REPURPOSING OF EXISTING BUILDINGS:
REHABILITATION MATCHING REVITALIZATION GRANTS
1. An applicant must contribute at least 50%towards the total cost of the eligible improvement.
2. Expenses must be related to direct labor, equipment, or materials associated with the eligible
improvement to be counted towards the project cost.
3. The Applicant shall incur all initial project costs and may receive reimbursement only after all
improvements have been completed in accordance with the grant award.
4. Grant funds will be disbursed upon the receipt of a finding of project completion by the CRA.
5. The finding of project completion will be granted when the CRA has received the following package:
a. Written notification from the Owner that the project is complete.
b. Copies of all required permits and occupancy certificates.
c. Copies of paid invoices and evidence of payment(cancelled checks).
6. Applicants must receive a building permit within six (6) months from the date the CRA approves the
grant request or the funding will expire. Extensions may be granted under special circumstances.

7. Project completion must be within twelve(12)months of the issuance of a building permit. Extensions

of complying with the City of Cape Canaveral's Building Codes.
3. Installation of seasonal planting or other seasonal landscaping.
4. Permit fees.
5. Inventory/fixture s/equipment.
6. Non-fixed improvements.
7. Improvements made prior to grant approval.
8. Refinancing existing debt.
9. Sweat equity payments (i.e. reimbursement for applicant's own labor and performance of renovation
work or new construction).

SITE PREPARATION
REQUIREMENTS, PROCEDURES, AND APPLICATION FORMS
It is the intent of the City of Cape Canaveral Community Redevelopment Agency (CRA) to provide
financial assistance to qualified owners of properties located within the boundaries of the CRA (See Figure
1 - CRA Boundary on following page) for eligible building or site improvements that contribute to the
physical, economic, social, and aesthetic well-being of the City of Cape Canaveral.
This section specifies the types of Rehabilitation, Redevelopment, and Repurposing of Existing Buildings
Grants; and provides detailed information on the Site Preparation Grants, including: Eligibility, General
Provisions, Application/ Award Procedures, and Application Form.
TYPES OF REHABILITATION, REDEVELOPMENT, AND REPURPOSING OF
EXISTING BUILDINGS GRANTS
There are several types of Rehabilitation, Redevelopment, and Repurposing of Existing Buildings Grants:
(1) Large Grant Program, (2) Rehabilitation Matching Revitalization Grant, (3) Commercial Life Safety
Compliance Grant, and (4) Site Preparation Grant. This appendix addresses Site Preparation Grants. Go to
Appendix E for the Large Grant Program, Appendix F for Rehabilitation Matching Revitalization Grants,
and Appendix G Commercial Life Safety Compliance Grants.
A. Large Grant Program - 50% reimbursement of project costs with a maximum reimbursement
up to $25,000 for repurposing of existing building(s), including commercial projects that are
mixed-use, entertainment, industrial, office, technology-based businesses, or a jobs -producing
entity, as determined/approved by the CRA. See Appendix E for more detailed information.
B. Rehabilitation Matching Revitalization Grant — 50% reimbursement of project costs with
a maximum reimbursement up to $10,000 for revitalization/preservation of existing commercial
buildings for exterior and code -related interior improvements including (see Appendix F for more
detailed information):
1. Electrical work, except as related to Fagade Grants.
2. Roof, soffit, and chimney repairs.
C. Commercial Life Safety Compliance Grant — 50% reimbursement of project costs with a
maximum reimbursement up to $10,000. See Appendix G for more detailed information
1. Sprinkler systems — as required by the Florida Fire Prevention Code.
2. Fire alarm systems — as required by the Florida Fire Prevention Code.
D. Site Preparation — 50% reimbursement of project costs with a maximum reimbursement up to
$10,000 to assist with demolition/removal of obsolete structures, thereby beautifying the property
and increasing its marketability.

GENERAL CRA INCENTIVES PROGRAMS REQUIREMENTS
1. Funds will be allocated on a first-come first-served basis. Only one grant award per structure, based
on the order of requests and available funds.
2. Tenants may qualify upon receipt of written consent from the property owner.
3. Matching grant funds require an up -front matching dollar -for -dollar expenditure by the owner/tenant.
Paint Voucher grants do not require owner/tenant matching.
4. No work for which a grant is sought shall begin until authorized.
5. To qualify for grant funds, an application must be submitted to the CRA with all applicable permits
(not part of grant request) and/or estimates for work (verified by an outside source).
6. Any unapproved changes may void the grant approval and CRA may withhold payment.
7. Amounts noted in the Programs are the maximum funds permitted; no guarantee or expectation of
maximum funding is implied. CRA may approve at its sole discretion partial funding for any Project.
8. By accepting funds from the CRA, the applicant agrees to an audit of the Project at any time.
9. The CRA may attach and/or impose any conditions of approval as deemed prudent and necessary in
fulfillment of the requested grant program and issuance of funds. All Project applications must meet,
or by this Project will meet, City codes, land use/zoning, sanitary, building and fire codes.
10. Only completed applications, including all supporting documentation, will be accepted.
11. Applicants for CRA Programs and Grants must be current on property taxes, both City and County.
12. Professional consulting services provided by General Contractors, Engineers, Architects, and Design
Consultants must be licensed in the State of Florida, as applicable.
13. The building must be structurally sound.
PROVISIONS FOR REHABILITATION, REDEVELOPMENT, AND
REPURPOSING OF EXISTING BUILDINGS:
SITE PREPARATION GRANT
1. An applicant must contribute at least 50% towards the total cost of the eligible improvement.
2. Expenses must be related to direct labor, equipment, or materials associated with the eligible
improvement to be counted towards the project cost.
3. The Applicant shall incur all initial project costs and may receive reimbursement only after all
improvements have been completed in accordance with the grant award.
4. Grant funds will be disbursed upon the receipt of a finding of project completion by the CRA.
5. The finding of project completion will be granted when the CRA has received the following package:
a. Written notification from the Owner that the project is complete.
b. Copies of all required permits and occupancy certificates.
c. Copies of paid invoices and evidence of payment (cancelled checks).
6. Applicants must receive a building permit within six (6) months from the date the CRA approves the
grant request or the funding will expire. Extensions may be granted under special circumstances.

7. Project completion must be within twelve (12) months of the issuance of a building permit. Extensions
may be granted under special circumstances.
The following items are specifically ineligible for this Program:
1. Parking lot paving.
2. Other improvements required for redevelopment or occupancy of the property, with the sole intention
of complying with the City of Cape Canaveral's Building Codes.
3. Installation of seasonal planting or other seasonal landscaping.
4. Permit fees.
5. Inventory/fixture s/equipment.
6. Non -fixed improvements.
7. Improvements made prior to grant approval.
8. Refinancing existing debt.
9. Sweat equity payments (i.e. reimbursement for applicant's own labor and performance of renovation
work or new construction).
APPLICATION/AWARD PROCEDURES FOR REHABILITATION,
REDEVELOPMENT, AND REPURPOSING OF EXISTING BUILDINGS:
SITE PREPARATION GRANT
Qualified applicants must schedule a pre -application meeting with the CRA prior to preparing an
application for submittal. The CRA office is located in the Community Development Department in City
Hall at 100 Polk Avenue Cape Canaveral, FL 32920. Appointments may be made by calling (321) 868-
1220.
Within ten (10) business days of application submittal, the CRA will review the application for
completeness. Should any deficiencies or issues with the application surface during the review process, a
post -application submittal conference will be held with the Applicant to discuss the deficiencies or issues.
The CRA may request that the Applicant provide additional information.
Within ten (10) days of receiving the completed application, the CRA will review the application against
the review criteria and prepare a recommendation for the City's Development Review Committee (DRC).
Applicants will also be sent a copy of the recommendation.
The DRC will determine by majority vote whether the application is approved or denied, with or without
conditions.
The Applicant will be notified in writing of the DRC's decision within five (5) business days of the decision.

Subject: Approve Interlocal Agreement between the City of Cape Canaveral, Florida, the City
of Cape Canaveral Community Redevelopment Agency and Brevard County, Florida, and
authorize Board Chair to execute same.
Summary: With passage of Resolution No. 2012-10, Council established the Cape Canaveral
Community Redevelopment Agency (CRA). However, because Brevard County operates as a
charter county, the City was required to request and receive the County Commission's
delegation of authority to exercise certain community redevelopment powers, including the
power to create a tax increment trust fund. This occurred with the passage of County Resolution
2012-174 in August of 2012.
The purpose of the CRA is to provide tools to foster and support redevelopment within the CRA
district. These tools are largely financial in nature and funded through CRA Tax Increment
Financing (TIF). This funding tool provides that a portion of the increases in ad valorem
revenues, over the base year, generated within the Community Redevelopment Area are
deposited by the City and County into a redevelopment trust fund. The year the Community
Redevelopment Agency was established, 2012, is considered the base year.
Since its creation in 2012, the CRA has increased in value by approximately $101 million.
Applying the County millage rate, the following payments have been made into the City tax
increment trust fund by the County:

Due to budget considerations related to charter restrictions on increasing ad valorem revenue,
the County is evaluating ways to balance its budget, primarily related to road maintenance and
reconstruction. One of the proposed solutions is to reduce future County contributions to the
various CRA's and to utilize any savings on road needs.
To that end, the County reached out to the various cities that operate a CRA with the intent to
renegotiate current CRA agreements. The City Attorney and CRA Staff met with and negotiated
the proposed Interlocal, which forwards several new policy directions, to include:
1. Invokes an alternate methodology for calculating County TIF payment to the City to be
based on the County or City millage rate, whichever is lower. This provision will also
be retroactively applied to all previous fiscal years. This "claw -back" equaled $102,862
and was deducted from the 2017/18 County TIF contribution to the City, which
otherwise would have been $388,417*;

2. Termination date of the CRA is being advanced to September 30, 2040. Currently, the
CRA is scheduled to terminate in 2042;
3. That the maturity date for any existing or future indebtedness incurred by the CRA, for
which County TIF payments will be pledged, shall not extend beyond the CRA
termination date;
4. Limits administrative costs of the CRA to a maximum of 5 percent of the annual fiscal
year budget amount; and
5. In addition to the annual CRA report, the CRA shall prepare and submit to the County
an annual audit report, prepared by an independent auditor largely in the form in the
Attachment. In addition, the City Manager or CRA Chairperson shall meet annually with
the County Commissioner in whose District the CRA is located, if requested, to discuss
the annual audit report. / (�

INTERLOCAL AGREEMENT BETWEEN
THE CITY OF CAPE CANAVERAL, FLORIDA
THE CITY OF CAPE CANAVERAL COMMUNITY REDEVELOPMENT AGENCY,
AND BREVARD COUNTY, FLORIDA
THIS INTERLOCAL AGREEMENT entered into by and between the CITY OF
CAPE CANAVERAL, a Florida municipal corporation, 100 Polk Ave., Cape Canaveral,
Florida 32920 (hereinafter "the CITY"), the CITY OF CAPE CANAVERAL
COMMUNITY REDEVELOPMENT AGENCY, (hereinafter "the CRA"), and
BREVARD COUNTY, a political subdivision of the State of Florida, in its own name and
on behalf of each County Taxing Authority, as defined in section 2b., below), 2725 Judge
Fran Jamieson Way, Viera, Florida 32940 (hereinafter collectively called "the COUNTY").
WITNESSETH:
WHEREAS, the CITY created the CRA pursuant to CITY Resolution 2012-10 after the
COUNTY delegated its authority pursuant to Part III, ch. 163, Florida Statutes, as permitted under
section 163.410, Florida Statutes, and as set forth in COUNTY Resolution 2012-174, as modified
and restated by COUNTY Resolution 2012-269; and
WHEREAS, pursuant to CITY Ordinance 23-2012, the CITY created a tax increment
redevelopment trust fund (CRA TIF) in accordance with section 163.387, Florida Statutes; and
WHEREAS, the CITY and COUNTY have continuously paid their respective full CRA
TIF payments required by section 163.387(1), Florida Statutes, to the CRA since the first fiscal
year of the CRA's operation; and
WHEREAS, the COUNTY is facing certain budget issues relating to road maintenance,
construction and reconstruction due to county charter restrictions on ad valorem tax revenues and
other factors; and
WHEREAS, the COUNTY has evaluated multiple options to address these budget issues
and is taking a variety of significant steps to address these issues in the best interests of the citizens
of Brevard County; and
WHEREAS, part of a solution to address the budget issues facing the COUNTY
involves negotiating interlocal agreements with applicable cities and community redevelopment
agencies within the COUNTY with the goal of working towards reducing or ceasing the
COUNTY's future annual CRA TIF contributions so the COUNTY could utilize those funds in
the future for road maintenance, construction and reconstruction; and
WHEREAS, the COUNTY recognizes and appreciates that the CITY has already taken
significant steps over the years to reduce the financial burden on the COUNTY to maintain former
County roads located within the jurisdictional limits of the CITY by previously accepting
jurisdiction and maintenance responsibilities over all COUNTY roads within the CITY including

portions of North Atlantic Avenue and Oak Lane and Ridgewood Avenue; and
WHEREAS, the COUNTY and CITY also recognize that the CRA continues to serve an
important public purpose and that continuing to encourage and foster redevelopment activities
within the CRA's boundaries using CRA TIF Payments, consistent with the CRA's
Redevelopment Plan, remains necessary to alleviate blight and slum conditions within the CRA
boundaries, and that the alleviation of these conditions is in the best interests of not only the
citizens and businesses within the CITY, but the citizens and businesses of Brevard County as a
whole; and
WHEREAS, the CITY and COUNTY have enjoyed an excellent relationship over the
years, and desire to cooperate in achieving the County's road program goals and the CITY's and
CRA's redevelopment efforts within the CRA's boundaries; and
NOW, THEREFORE, the parties mutually agree as follows:
1. RECITATIONS. The foregoing recitations are true and correct and by this
reference incorporated herein by this reference.
2. DEFINITIONS. The following definitions shall apply when used in this
Agreement:
a. "Increment" or "Tax Increment" shall have the same meaning as "increment" as set
forth in section 163.387(1)(a), Florida Statutes.
b. "County Taxing Authority" means Brevard County, through its Board of County
Commissioners and any County established Municipal Services Taxing Unit (MSTU) or
dependent special districts on behalf of which the County levies taxes or approves a budget to the
extent such MSTU or dependent special district is required to contribute a tax increment to the TIF
established by the City for the CRA in accordance with the requirements of section 163.387,
Florida Statutes.
3. AUTHORITY. This agreement is being entered into under the authority vested
in the parties by section 163.387(3)(b), Florida Statutes and, pursuant to that authority,
supersedes any provision or requirement set forth in section 163.387, to the extent of any conflict
with this agreement and that statutory provision.
4. TERMINATION OF CRA. All parties agree that the CRA Termination Date is
September 30, 2040. The parties agree that the CITY and COUNTY shall take such actions as may
be required to terminate the CRA on the CRA Termination Date, which actions shall include the
amendment or repeal of any CITY or COUNTY resolutions or ordinances (1) delegating authority
to the CITY to create a CRA and (2) creating the CRA and CRA TIF. In accordance with section
163.387(3)(b), Florida Statutes, notwithstanding any provision in section 163.387, Florida Statutes
to the contrary, after the CRA Termination Date, the COUNTY and CITY shall no longer be

required to contribute a tax increment of any amount to the CRA TIF.
5. COUNTY AND CITY CRA TIF PAYMENTS. The COUNTY and
CITY will continue their respective annual contributions to the CRA TIF as required by
section 163.387, Florida Statutes, in every fiscal year between FY 2017/2018 and FY 2039/2040
as follows: The COUNTY TIF payment amount will be calculated based on the millage rate of the
COUNTY or the CITY, whichever is lower. After FY 2039/2040, the COUNTY's and CITY's
obligation to make annual contributions shall cease and neither party will make annual
contributions for future fiscal years. The COUNTY, CITY and CRA further agree that the
provision above regarding the calculation of the COUNTY TIF payment shall be retroactive to
the CRA's first fiscal year in which it received COUNTY TIF payments. As such, all parties
agree that the COUNTY's previous deduction of $102,862.00 from the COUNTY's annual
TIF contribution to the CRA's Redevelopment Trust Fund in FY 2017/2018 is authorized
and approved by the Parties. The amount previously deducted by the COUNTY shall be
retained by the COUNTY for county purposes. No further deductions will be made by the
COUNTY for previous COUNTY TIF payments made through FY 2017/2018 unless
mutually agreed to by the CITY and CRA in writing.
6. INDEBTEDNESS. No provision of this Agreement shall be construed or
interpreted as limiting or prohibiting the CRA from incurring indebtedness of any kind allowed by
law. However, the Parties agree the maturity date for any existing or future indebtedness incurred
by the CRA, for which COUNTY TIF payments have been pledged as a source of revenue, shall
not extend beyond the CRA Termination Date.
7. LIMITATION ON CRA ADMINISTRATIVE SERVICES EXPENSES. No
provision of this Agreement shall be construed or interpreted as limiting or prohibiting the CITY
from annually providing administrative services to the CRA which are necessary and incidental to
the implementation of the CRA Community Redevelopment Plan adopted by the CITY and CRA.
Additionally, each fiscal year, the CRA shall be permitted to reimburse the CITY for such annual
administrative services. However, said reimbursement, payable from COUNTY TIF payments,
shall not exceed five percent (5%) of the total CITY and COUNTY TIF payments for each fiscal
year in which reimbursement is made.
8. ANNUAL AUDIT; REPORT; AND MEETING. In addition to the annual CRA
audit report required by section 163.387(8), Florida Statutes, the CRA shall prepare and submit to
the COUNTY, in conjunction with the annual CRA audit report, a report in the form set forth in
Exhibit A, attached hereto. Additionally, the CITY and CRA agree to contractually require the
independent auditor preparing the CRA's annual audit report to examine CRA expenditures and
certify that all CRA TIF revenues have been lawfully expended for the community redevelopment
purposes authorized under the provision of chapter 163, Part III, Florida Statutes. If any CRA
expenditure is not certified as compliant by the independent auditor, the CITY and CRA, at their
discretion, will take whatever steps are necessary to bring any such expenditure into compliance
including, but not limited, contesting the independent auditor's opinion, reimbursing the CRA for
such expenditure with CITY funds, or by such other lawful means. After submitting the annual
CRA audit report, the City Manager of the CITY or Chairperson of the CRA governing body shall

annually meet with the County Commissioner in whose District the CRA is located to discuss the
annual audit reports, if the annual meeting is requested by said County Commissioner. No
provision of this Agreement shall be construed or interpreted to restrict or prohibit the COUNTY
from conducting, at its expense, any other audit of the CRA's expenditures as allowed by law.
9. EFFECT OF AGREEMENT. This Agreement, including the exhibits and all
documents and papers delivered pursuant hereto, and any written amendments executed by the
Parties to this Agreement constitute the entire agreement between the Parties. This Agreement
may be amended only by written agreement approved and executed with the same formalities as
this Agreement by all Parties. This Agreement does not alter City Resolution No. 2012-10, City
Ordinance No. 23-2012 and County Resolution No. 2012-174 as modified and restated in County
Resolution 2012-269. The Parties agree to modify or amend these documents on an individual
basis, as applicable and necessary, to implement this Agreement.
10. ATTORNEY'S FEES. In the event any litigation arises out of this Agreement or
under this Agreement, each party shall bear its own attorney's fees and costs.
11. NOTICES. All notices, requests, demands and other communications which are
required or may be given under this Agreement shall be in writing and, in the case of notice to the
City or County Manager, by email. Notice shall be deemed to have been duly given if emailed
and by personal delivery or deposit of the same in first class mail, postage prepaid by certified

12. GOVERNING LAW. The validity, construction and enforcement of and the
remedies under this agreement shall be governed in accordance with the laws of the State of
Florida, and venue of any proceeding shall be Brevard County, Florida.
13. SAVINGS CLAUSE. The invalidity or unenforceability of any particular
provision of this Agreement shall not affect the other provisions, and this Agreement shall be
construed in all respects as if such invalid or unenforceable provisions were omitted.
14. EFFECTIVE DATE; RECORDATION. This Agreement shall take effect on
the date that it is executed by both Parties and recorded in the Official Records of Brevard
County, Florida. Upon execution of this Agreement by both Parties, the COUNTY shall
promptly record this Agreement in the Official Records of Brevard County, Florida, and return a
recorded copy of this Agreement to the CITY'S City Manager at the address listed in Section 12
of this Agreement.
