This document contains confidential and proprietary information and is supplied to allow the following organization to make an
evaluation or WM Sustainability Services, Lt.C, a Waste Management Company, as a candidate for the delivery of the services
contained in this proposal. in submitting this proposal, Waste Management expects that the organization shall, and shall cause all
of its employees, partners, and corporate affiliates (collectively "Representatives"')to hold all information contained in this
proposal and or submitted to the organization as a result of this proposal (collectively "information') in confidence, shall use such
Information only for the purpose of its work with Waste Management, shall reproduce such Information only to the extent
absolutely necessary for such purpose, shall restrict disclosure of such Information to such of its Representatives (and shall advise
such Representatives that each is subject to this confidentiality agreement and of the obligations assumed herein), and shall not

Waste Management Sustainability Services is pleased to provide a budgetary cost proposal for The City of Cape
Canaveral. The intent of the budgetary proposal is to provide an, overview of scope, deliverables, and pricing for
architectural design review of their planned City Hall facility.

Emphasis on sustainable design practices has increased over recent years. Building designers play an integral part in
helping to deliver projects that address key areas of sustainability (environmental, social and economic). Waste
Management Sustainability Services has the expertise and experience to provide a wide array of consulting services
including LEED Design review and waste minimization and recycling management consultation that can benefit the
City in their new facility construction and operation.

LEED Design
LEED certification by the USGBC has become an ever -increasingly popular method to integrate sustainable design,
practices into tradition design and construction projects. However many entities choose to use LEED design
principles without applying for the sometimes lengthy and costly certification process. In, addition, in many
municipalities the current building codes mimic many of the basic design principles in LEED, which allows for the
sustainable benefits of LEED type designs without being involved with the USGBC process.
Waste and Recycling
Waste minimization and management are some of the most important areas of focus for any building project. All
phases of a building design offer opportunities for the design team to implement strategies that will help minimize
or eliminate waste. The best management approach to waste is to manage the process so that there is no waste to
manage.
Our team can help review every aspect of material sourcing, material use/reuse, material disposal and material
recyclability. Our consultants have the capability to perform a waste efficiency -focused design review to identify and
categorize materials that impact the building project from conceptual design to post -construction, substantially
improving waste recycling and helping achieve the project's overall sustainability goals.

providing the proposed Professional Sustainability Consulting Services budgetary cost pricing to you, Waste
Management Sustainability Services can provide the City of Cape Canaveral's design team with comprehensive
architectural design reviews, identifying possible LEED design alternatives and ways to create an efficient materials
management system that will increase diversion and operational efficiencies.

LEED Review
The Waste Management Sustainability Services team of LEED Accredited Professionals can review existing facility
plans and provide insights into LEED design and operations for the new City Hall facility. By reviewing the existing
designs from a LEED perspective, our consultants can possibly integrate additional design elements not previously
included on the original plan. By utilizing the past and present versions of LEED, we can determine the most suitable
design aspects that would be appropriate for the City's overall goals, facility type and surrounding community.
Our consultants can also work with the City of Cape Canaveral's architectural design team on recommendations to
the existing City Hall plans, meeting in person or on a conference call to review the recommendations and gauge
whether they have been previously considered or could have potential for inclusion in the existing plan.
Waste and Recycling Review
The Waste Management Sustainability Services team can assist you in defining the most efficient waste conveyance
and recycling program to meet the City of Cape Canaveral's project needs. Our team of waste/recycling solutions
experts will help identify the right sizing of all waste containers throughout the disposal process and appropriate
locations of recycling containers and capitalize on high residuals source density/high traffic areas.
Our team of consultants can review the interior fit -out and back of house areas to optimize the recycling efforts by
making it convenient for occupying and operating the facility. We will review the trash accumulation areas, storage
rooms and conveyance routes in an effort to assure that once the structure is occupied; the waste collection and
recycling programs are operating at the highest efficiency level possible.
As illustrated in the matrix below, Waste Management Sustainability Services consultants are a part of the
integrated design process, providing their expertise and guidance through all design phases and identifying
strategies for enhanced LEED design opportunities as well as Innovative waste management methodologies and
various technologies to better reduce, reuse and recover waste.

specifications and credits.

Budgetary Pricing
in consideration of the aforementioned Scope of Work, Waste Management Sustainability Services proposes an
hourly rate for consulting services. Needs, expectations, hours, and deliverables may vary as the project develops.
Retainer: $125/hour for consulting services
LEED Review: .................................................................. Not to exceed 15 hours.

Should Waste Management Sustainability Services exceed the preliminarily estimated hours to complete each
opportunity; Waste Management Sustainability Services will only proceed with expressed written consent from the
City.
Waste Management Sustainability Services will provide monthly invoices for consulting services.
This proposal is valid for sixty (60) days from the date shown on the cover. Final pricing and terms are subject to a
signed Waste Management Sustainabilitv Services Agreement.

1. SCOPE OF SERVICES. Waste Management National Services ('WMNS') will
provide the consulting services derated In Exhibit A for Customer.
2. PAYMENT. Customer agrees to pay VVMNS for services rendered hereunder during
the Terre set fol above and h accordance with the fee schedule, and other terms and
conic" ad forth in each Exhibit A Scope of Work. WMNS shy submit invoices to
Customer that shall be paid not later than thirty (30) days after the data of the Invoice.
VONS reserves the right to charge a late fee no greater than that allowed by taw.
3. TERMINATION. This Agreement may be terminated at any time by either party at its
convenience with sbdy (60) days advance notice and, in such event, WMNS will be paid
for services provided prior to ierminalk n, i ckidig any works In progress.
4. CONFIDENrtiUM. Each party agrees that

5. INDEPENDENT CONTRACTOR VVMNS shat be considered an independent
contractor for purposes of this Agreement.
6. WMNS WARRANTY. THE SERVICES, RECOMMENDATIONS ANDIOR ADVICE
PROVIDED TO CUSTOMER BY VVMNS HEREUNDER VNLL BE PREPARED,
PERFORMED AND RENDERED IN ACCORDANCE WITH PROCEDURES,
PROTOCOLS AND PRACTICES GENERALLY ACCEPTED IN WMNS' INDUSTRY
FOR USE IN SIMILAR ASSIGNMENTS. It is WMNS' intent that the conclusions and
r000mmendations presented by hereunder be used as guidance and not necessarily
as a firm course of action. With respect to such consulting services, WMNS neither
makes, nor offers, nor shat WMNS be liable to Customer for any
WARRANTIES, EXPRESSED OR dNPLIED, INCLUDING N?THOUT LIMITATION,
WARRANTIES AS TO MARKETABILITY OR FITNESS FOR A PARTICULAR
PURPOSE. The recommendations and opinions from WMNS are not guaranteed
nor shall WMNS be liable for Customer's or any other party's reliance upon such
recommendations or opinions. The information provided by WMNS Is not to be
construed as legal advice. WMNS assumes no liability for such information or
advice being in compliance with any laws, regulations or statutes that may be
applicable to the work Customer is or should be undertaking.
7. CUSTOMER WARRANTY. Cust xw shall be solely and strictly Noble for any
damages or losses arising from inaccurate or irconplete Infommatiorm supplied by
Customer. Customer shall comply with all sppcicable statutes, ordinances, laws, orders,
rules and regulations applicable to waste generators and to CuatorWo performance of
Its obligations under this Agreement Customer agrees to provide WMNS and its
employees a safe working environment for any work hereunder which must be
undertaken on premises owned or controlled by the Customer.
6. WMNS LIABILITY. In no evert shat WMNS the liable to Customer for any amount in
excess of the amount received by WMNS for the Services rendered hereunder.
9. NOTICE. Any notice required or permuted hereunder shat be deemed to have been
duly given illi the some shat have been sent via certified mail (return receipt requested),
of by any commercial express delivery or courier service. with postage and other
charges prepaid. to the addresses shown at the top of this Agreement for either party.
10. SEVERABL fTY. The provisions of this Agreement shall be deemed severable and
the invalidly or unentmeabbty of any provision shall not affect the validly and
enforceability of the otter provisions hereof. If any provision of this Agreement is
unenforceable, such provision shall be appropriately isniled and given effect to the extent
that it may be erforceable.
11. GOVERNING LAW. This Agreement shall be governed by the taws of the State in
which Services are performed.
12. ASSIGNMENT. Neither party shhal assign this Agreement except to is subsidiaries
or affiliates, without fast obtaining the written consent of the other parry, which cornsent
shell not be unreasonable withheld.
13. MISCELLANEOUS. In the event of breach of the Agreement by either party, the
breeching party shall pay all reasonable attorney's fees and costs of the other party
incident to any action brought to enforce this Agreement. Except for the obligation to
make payments hereunder, neither party shall be In default for its failure to perform
or delay in performance caused by events or significant threats of events beyond its
reasonable control, whether or not foreseeable. Including, but not limited to, strikes,
labor trouble, riots, imposition of laws or govemmentof orders, fires, acts of war or
terrorism, acts of God and the affected party shall be excused from performance
during the occurrence of such evens.
